1. Seller and scope of the terms and conditions

1.1 The seller and operator of the byRoman online shop available at www.byroman.sk is:

1.2 These terms and conditions apply to contracts concluded with a consumer, that is, a natural person who, when making a purchase, is not acting within the scope of their business activity or profession. The online shop is not intended for wholesale or business purchases. The seller may refuse an order if its details or the circumstances indicate that the buyer is not acting as a consumer.

1.3 Sales are made in particular in accordance with Act No. 40/1964 Coll., the Civil Code, Act No. 108/2024 Coll. on Consumer Protection, Act No. 22/2004 Coll. on Electronic Commerce and Act No. 391/2015 Coll. on Alternative Resolution of Consumer Disputes, in each case as amended.

2. Goods and information before purchase

2.1 The seller offers perfumes of its own creation and samples of them, in particular the Creamy Matcha perfume with a volume of 50 ml and the Creamy Matcha sample with a volume of 2.5 ml. In the e-shop, the sample may be listed as a variant of the product.

2.2 Only products marked as in stock are sold. Availability information may change as a result of concurrent orders. If, exceptionally, the stock runs out before the order is processed, the seller will inform the consumer without delay and refund the payment received, unless they agree otherwise.

2.3 The main characteristics, volume, price, composition and other essential information are stated with the product. Photographs are for presentation purposes, but they must correspond to the essential characteristics of the product supplied.

2.4 Minor natural variations in the colour of the perfume liquid or slight differences in the appearance of the hand-assembled packaging do not in themselves constitute a defect, provided that they do not affect the safety, quantity, agreed characteristics or proper use of the product and the product corresponds to the information provided before the purchase.

3. Order and conclusion of the purchase contract

3.1 The consumer creates an order by adding the selected variant to the cart, entering the details required for payment and delivery, choosing an available delivery and payment method and submitting the order with a button indicating an obligation to pay.

3.2 Before submitting the order, the consumer can check and correct the details entered, the contents of the cart, the currency, the delivery method and the total price.

3.3 A submitted order is the consumer’s offer to conclude a contract. The purchase contract is concluded upon successful payment and delivery of the confirmation of acceptance of the order to the consumer’s email address. If payment fails or is not completed, no contract is concluded and the goods are not reserved.

3.4 The order confirmation contains a summary of the order and the information needed to retain the content of the contract. The current version of the terms and conditions, the information on withdrawal and the model form are sent to the consumer as an attachment to the confirmation email or directly in its body, in a form that can be stored and reproduced unchanged.

3.5 The contract is concluded in the Slovak language. The terms and conditions and the contract are available in the Slovak language, and the consumer is informed of this before submitting the order. The seller retains the order data in electronic form for the statutory periods. The consumer has access to the order through the confirmation sent by email and, after logging in, also through the customer account, if they have created one.

3.6 The seller is not obliged to accept an order if there is a legal reason, for example an obvious error in the price, unavailability of the goods or suspected misuse of a payment instrument. If payment was received before the order was accepted, the seller will refund it without undue delay by the same method.

4. Prices, currencies and payment terms

4.1 Prices are final and include VAT. The shipping price and any other costs are shown separately before the order is submitted. The total price shown at checkout at the moment the order is submitted is binding.

4.2 For Slovakia, prices are displayed and paid in euros. For Czechia, the consumer may pay in Czech koruna and for Poland in Polish zloty. For an order in CZK or PLN, the amount in the selected currency shown at checkout is binding. If the payment card is held in a different currency, any conversion and fee are determined by the consumer’s bank or card provider.

4.3 Payment can be made by payment card, Apple Pay or Google Pay through the Stripe payment service. Card payment details are processed by the payment service provider; the seller has no access to the full payment card number.

4.4 The invoice is issued electronically through the BILVAO invoicing system and sent to the email address given in the order. By submitting the order, the consumer agrees to the invoice being issued and delivered electronically.

4.5 The seller may change prices with effect for the future. A change does not affect a contract already concluded.

5. Delivery of goods

5.1 Goods are delivered within the territory of the Slovak Republic, the Czech Republic and the Republic of Poland through the Packeta services available for the country concerned. The specific delivery options are shown at checkout according to the address entered.

5.2 In Slovakia, delivery to a Packeta pickup point or Z-BOX costs EUR 3.50 including VAT and courier delivery to an address costs EUR 5.50 including VAT. For goods with a value of at least EUR 50 including VAT, shipping within Slovakia is free, unless an even more favourable rule is stated for a particular promotion.

5.3 The price of shipping to Czechia and Poland, the availability of courier, pickup point or box delivery and any free shipping threshold are shown at checkout before the order is submitted. The amount in CZK or PLN stated in the order summary is binding.

5.4 The seller usually dispatches goods in stock within 24 hours on working days after successful payment. If a holiday, a suspension of dispatch or another temporary change is visibly announced in the e-shop before the order, the time limit stated in that notice applies.

5.5 The estimated transit time is shown with the selected delivery method. Unless a specific time limit has been agreed, the seller will deliver the goods without undue delay, and no later than 30 days after the conclusion of the contract.

5.6 If the seller fails to deliver the goods within the agreed time limit, the consumer may request delivery within a reasonable additional period. If the seller fails to deliver the goods within that period as well, the consumer may withdraw from the contract. An additional period is not required in the cases laid down by law, in particular where the seller has refused to deliver or where the exact delivery date was essential to the consumer and the seller was aware of this.

6. Receipt of goods and uncollected parcels

6.1 The risk of accidental destruction of or damage to the goods passes to the consumer upon receipt of the goods from the carrier. If the consumer chooses their own carrier not offered by the seller, the passing of risk is governed by law.

6.2 It is recommended to check the condition of the parcel on receipt. It is advisable to report any visible damage to the carrier and to have it recorded. Failure to carry out the check or to make a record does not in itself deprive the consumer of their statutory rights arising from liability for defects.

6.3 If, without prior agreement, the consumer fails to take delivery of a properly dispatched parcel, the contract does not automatically terminate as a result. The seller may claim reimbursement of the proven and reasonably incurred costs of delivering and returning the parcel. This does not affect the consumer’s right to validly withdraw from the contract.

7. Withdrawal from the contract within 14 days

7.1 The consumer may withdraw from a contract concluded at a distance without giving any reason within 14 days of the day on which the consumer, or a person designated by the consumer other than the carrier, takes receipt of the goods. If goods from one order are delivered separately, the period runs from the receipt of the last goods delivered. The consumer may also withdraw before taking receipt of the goods and, where several products have been ordered, also in respect of selected products only.

7.2 The period is observed if the consumer sends an unambiguous statement of withdrawal no later than on its last day:

  • through the “Withdrawal from contract” function in the e-shop,
  • by email to info@byroman.sk, or
  • by letter to Arfrag s. r. o., Jazerná 639/27, 925 22 Veľké Úľany.

7.3 The “Withdrawal from contract” function is clearly visible and easily accessible through a link in the footer of the e-shop and also in the customer account; both links lead to the same function. The function is continuously available throughout the withdrawal period, including to a consumer who made a purchase without registering, through the link in the footer of the e-shop. In the first step, the consumer fills in or confirms their first name and surname, the order number as the identifier of the contract and the email address for delivery of the confirmation. For purchases made without registration, the order is identified by the order number and the email address. In the second step, the consumer sends the notice using a separate “Confirm withdrawal” button. After the notice has been sent, the seller will without undue delay send the consumer, to the email address provided, an automatic acknowledgement of receipt on a durable medium containing the notice of withdrawal and the date and time it was sent. When withdrawing by email or by letter, the consumer may use the model form in Annex 1, but this is not mandatory.

7.4 The consumer must send back or hand over the goods no later than 14 days after withdrawal. The direct costs of returning the goods are borne by the consumer. The time limit is met if the consumer sends the goods no later than on its last day. The obligation to send back or hand over the goods does not apply if the seller offers to collect them in person or through a person designated by the seller. The consumer does not bear the costs of return if the seller has agreed to bear them itself or has failed to meet its statutory obligation to inform the consumer of these costs.

7.5 The seller will refund all payments received, including the costs of the least expensive standard delivery method offered by the seller, no later than 14 days after the notice of withdrawal is delivered. The seller is not obliged to refund them before the goods have been delivered back to it or the consumer has proven that they have been sent, whichever occurs first. This withholding of payment does not apply if the seller offers to collect the goods. In the case of partial withdrawal, payments are refunded to the extent corresponding to the withdrawal in accordance with the law.

7.6 The payment is refunded by the same method and in the same currency in which the order was paid, in particular through Stripe, unless the consumer expressly agrees to a different method at no additional cost to the consumer.

7.7 The right of withdrawal does not apply in the cases laid down by law, in particular to goods made to the consumer’s specifications or intended specifically for one consumer, and to other supplies covered by the provisions of Act No. 108/2024 Coll. concerning exceptions to the right of withdrawal. These exceptions apply only if the statutory conditions are met for the specific product and method of delivery.

8. Return of goods and diminished value

8.1 The consumer is liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their characteristics and functioning; this does not apply if the seller has failed to meet its statutory obligation to provide information on the right of withdrawal from the contract. In determining the amount of the claim, the actual condition of the product, the quantity of missing contents and any damage to the packaging are taken into account, in each case only to the extent caused by handling beyond reasonable testing. The diminished value must be reasonable and proven. The seller will inform the consumer of the reason for and the amount of the claim asserted. The claim may not be unilaterally set off against the consumer’s claim for a refund; it is settled by agreement with the consumer or by asserting the claim separately in a lawful manner.

8.2 For the 50 ml perfume, the consumer may, in particular, return an unused product with the protective cellophane intact without any diminished value. Opening the cellophane does not in itself automatically remove the right of withdrawal; however, use of the perfume beyond the extent necessary for reasonable testing may give rise to a claim for compensation for reasonable and proven diminished value under Article 8.1.

8.3 The 2.5 ml sample may be returned as part of the statutory withdrawal. Reasonable testing of the sample, meaning a few sprays to get to know the fragrance, is not a reason to reduce its value. A claim for compensation for diminished value under Article 8.1 applies only where the sample has been used beyond reasonable testing, to the extent corresponding to the proven use.

8.4 To try the fragrance conveniently, the consumer may order a sample together with the 50 ml perfume, try the sample and return the unopened perfume with the cellophane intact within the statutory period. This is the recommended way of trying the fragrance; it does not limit the statutory right of withdrawal.

8.5 It is recommended that the goods be returned complete, securely packed and with their accessories. The absence of the original packaging does not in itself extinguish the right of withdrawal, but it may be taken into account where diminished value is proven.

9. Liability for defects and complaints

9.1 The seller is liable for any defect that the goods have upon delivery and that becomes apparent within two years of delivery. The goods must correspond to the agreed description, type, quantity, quality, functionality and other characteristics that can reasonably be expected, taking into account their nature and public statements made by the seller or the manufacturer. After a defect has been remedied by repair for the first time, the statutory period of liability for defects is extended by 12 months; the extension applies only once, regardless of the number of repairs.

The seller does not provide a commercial guarantee beyond the statutory liability for defects.

9.2 A defect does not include normal wear and tear, damage caused by improper storage or use, mechanical damage caused by the consumer, or a characteristic of which the consumer was expressly informed and to whose deviation the consumer specifically agreed.

9.3 A defect must be notified within two months of its discovery, and no later than by the end of the statutory period of liability for defects. A complaint can be made:

  • by email to info@byroman.sk,
  • through the online complaint form available in the e-shop, or
  • in writing or by sending the goods to Arfrag s. r. o., Jazerná 639/27, 925 22 Veľké Úľany.

9.4 In the complaint, it is advisable to state the order number, the product name, a description of the defect and the remedy requested. A photograph or video may speed up the assessment if the defect can be captured. The seller may not reject a complaint merely because the consumer does not have the original packaging or did not use the form.

9.5 Immediately after a defect has been notified, the seller will provide the consumer with written confirmation of the notification and state the time limit within which it will remedy the defect. The seller will remedy the defect within a reasonable time limit, which may not exceed 30 days from the day on which the defect was notified, unless a longer time limit is justified by an objective reason beyond the seller’s control. The seller must prove the existence of such a reason. Once the complaint has been handled, the seller will issue the consumer with a written document stating how it was handled and its outcome. If the seller rejects liability for defects, it will inform the consumer in writing of the reasons for the rejection.

If a defect becomes apparent before the end of the period of liability for defects under Section 619(1) to (4) of the Civil Code, it is presumed that the goods already had the defect upon delivery. This does not apply if the contrary is proven or if this presumption is incompatible with the nature of the goods or of the defect.

9.6 The consumer may choose to have the defect remedied by repair or by replacement, except where the chosen method is impossible or would cause disproportionate costs compared with the other method. The seller may refuse to remedy the defect if neither repair nor replacement is possible or if they would require disproportionate costs, taking into account all the circumstances. Before remedying the defect, the seller will inform the consumer of the right to choose between repair and replacement and of the statutory extension of the period of liability for defects after the first repair.

9.7 The consumer is entitled to a reasonable price reduction or may withdraw from the contract, in particular if the seller has not remedied the defect or has refused to remedy it, if the same defect recurs despite repair or replacement, if the defect is of such a serious nature that it justifies an immediate price reduction or withdrawal, or if it is clear from the circumstances that the defect will not be remedied properly and in time. The consumer may not withdraw from the contract if the defect is negligible.

9.8 Repair or replacement is carried out free of charge, at the seller’s expense and without causing significant inconvenience to the consumer. In the case of a justified complaint, the seller will reimburse the costs reasonably incurred in connection with exercising the right arising from liability for defects.

10. Discount codes and gift vouchers

10.1 The terms of a specific discount, promotion or free shipping are shown with the offer. A discount code is applied in the cart before the order is submitted. Unless otherwise stated for a specific promotion, discount codes cannot be combined with each other or applied retrospectively to an order already placed.

10.2 A gift voucher is used in the manner and within the validity period stated at its purchase or directly on the voucher. The voucher can be redeemed for orders delivered to the Slovak Republic, the Czech Republic and the Republic of Poland. The voucher cannot be exchanged for cash unless the law provides otherwise. In the event of withdrawal from the contract, the payment is refunded in accordance with Articles 7.5 and 7.6. The part paid with the voucher is refunded by restoring the value of the voucher within its original validity period, if that period is still running, unless the consumer expressly agrees to a different method at no additional cost. If the original validity period of the voucher expired before its value was restored, the relevant part of the payment is refunded to the consumer by another method expressly agreed with the consumer, at no additional cost; the expiry of the voucher does not extinguish the right to a refund. The part paid by card is refunded by the same method by which it was paid.

10.3 If the right of withdrawal applies to the sale of a gift voucher, the consumer may exercise it in accordance with Article 7. Using the voucher during the withdrawal period does not result in the loss of statutory rights beyond what is permitted by law.

11. Grievances and alternative dispute resolution

11.1 The consumer may send a grievance or suggestion to info@byroman.sk. The seller will respond without undue delay, usually within 30 days.

11.2 If the consumer is not satisfied with the way in which a complaint was handled or believes that the seller has violated their rights, the consumer may ask the seller for redress. If the seller rejects the request or does not respond within 30 days, the consumer may submit a petition to initiate alternative dispute resolution under Act No. 391/2015 Coll.

11.3 The competent body is in particular the Slovak Trade Inspection (Slovenská obchodná inšpekcia), Central Inspectorate, Department of Alternative Consumer Dispute Resolution, Bajkalská 21/A, P. O. BOX 29, 827 99 Bratislava 27, email ars@soi.sk, website www.soi.sk. The consumer may also use another authorised body from the list kept by the Ministry of Economy of the Slovak Republic.

11.4 In a cross-border dispute, the consumer may also seek assistance from the European Consumer Centre in their country. The European ODR platform was abolished on 20 July 2025.

12. Personal data protection

12.1 Personal data are processed in particular for accepting and handling the order, payment through Stripe, delivery through Packeta, issuing the invoice, keeping accounting records, handling withdrawals and complaints and fulfilling legal obligations.

12.2 Details of the purposes, legal bases, recipients, retention periods, the Ecomail service used for sending the newsletter, BILVAO s. r. o. (accounting and the system in which invoices and credit notes are issued) and the rights of data subjects are set out in the separate Privacy policy document, available in the footer of the e-shop. Personal data are processed for sending the newsletter on the basis of the consumer's consent, which may be withdrawn at any time. This article does not replace the information obligation referred to above.

13. Final provisions

13.1 The contract is governed by the law of the Slovak Republic. This choice may not deprive the consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence, in particular if the seller directs its activities to that country.

13.2 The seller is not bound by any specific code of conduct. The supervisory authority is the Slovak Trade Inspection, SOI Inspectorate for the Trnava Region, Pekárska 23, 917 01 Trnava.

13.3 The seller may amend these terms and conditions with effect for the future. A specific order is governed by the version in effect at the time it was concluded. An amendment has no retroactive effect on contracts already concluded.

13.4 If any provision is invalid or ineffective, the remaining provisions remain in force. The affected provision is replaced by the statutory rule that most closely corresponds to its permissible purpose.

13.5 These terms and conditions are effective from 16 October 2026.
